  • A mobile application Terms and Conditions agreement (T&C) is where you set out the rules and restrictions for anyone who uses your mobile app. It helps limit your legal liability while managing user expectations.

 

  • Mobile App Terms & Conditions are a legal agreement that users will agree to when using your app. In this agreement, you’ll be able to keep control over some aspects of the use of your app.

 

  • Unlike a Privacy Policy, a Terms and Conditions is not mandatory under any laws or required by any app stores, for Apple iOS or Google Android Play Store.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING, DOWNLOADING, OR USING ANY OF THE SERVICES OFF THE APPLICATION AS DEFINED BELOW, YOU (End User, Spocto registered agents and authorised personnel) AGREE TO BECOME BOUND BY THESE TERMS AND CONDITIONS.

Field Pay (“app”) is an application only for collection agents, partners, managers and field staff.

Field Pay is for Spocto registered agents and authorised personnel only. (“you”)

 

  1. DEFINITIONS
  • “Agreement” means these Terms and Conditions you enter into with us.
  • “Confidential Information” means all confidential information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”) in connection with the Agreement that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party. The following information shall be considered our Confidential Information whether or not marked or identified as such: (a) information regarding Field Pay pricing, product roadmaps or strategic marketing plans; (b) non-public materials relating to the Services and (c) customer’s personal information.
  • “Site and Services” means official website of Spocto Solutions Private Limited, its subsidiaries, affiliates, holding company and Field Pay.
  • “User” or “You” or “your” means Spocto registered agents, Spocto employees, authorised personnel entitled to access login and use the Services.
  • “We” or “us” or “our” or “app” means Field Pay.
  • “Spocto” or “licensor” or “company” means Spocto Solutions Private Limited, its subsidiaries, affiliates, holding company.

 

  1. Ownership:

Field Pay (“app”) and all associated intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, are and shall remain the sole and exclusive property of the company. The user shall have no rights or ownership interest in the app or any associated intellectual property rights.

 

  1. Acceptance of Terms:

These terms and conditions is an agreement in electronic format between you as an end-user and Field Pay. By accessing and using our services, you are agreeing that you will be bound by and act in accordance with the terms and conditions of this agreement. We may update this agreement at any time, with no prior notice to you.

 

  1. Conditions of use:

By using this app, you certify that you have read and reviewed this Agreement and that you agree to comply with its terms. If you do not want to be bound by the terms of this Agreement, you are advised to stop using the app accordingly. Field Pay only grants use and access of this app, its products, and its services to Spocto registered agents and authorised personnel only.

 

  1. The Sites and Services:
  • Intellectual Property:The Sites and Services are our intellectual property or the intellectual property of our licensors and all trademarks, logos, service marks, trade names, trade dress and other intellectual property rights in the Sites and Services (whether registered or unregistered) and the material published in them is owned by us or our licensors or licensees.  No element of the Sites and Services may be used or exploited in any way other than as part of the Sites and Services offered to you. We do not transfer title to any portion of the Sites and Services to you.Other than as expressly provided herein, no part of the Sites and Services may be reproduced or stored, modified, copied, republished, uploaded, posted, transmitted or distributed, by any means or in any manner, or included in any other website or in any public or private electronic retrieval system or service including but not limited to text, graphics, video, messages, code and/or software without our express prior written consent.If you breach any of these Terms, your permission to use the Sites and Services automatically terminates and you must immediately destroy any downloaded or printed extracts from the Sites and Services.
  • Changes:  The Sites and Services are evolving and will change over time. Field Pay and its licensors reserve the right to change, suspend, remove or disable access to the Sites and Services or other materials comprising any part of the Sites and Services at any time without notice. In no event will Field Pay be liable for making these changes.  Field Pay may also impose limits on use of or access to certain features or portions of the Sites and Services without notice or liability.
  • Requirements:Use of the Sites and Services may require compatible devices, Internet access, and certain software; may require periodic updates; and may be affected by the performance of these factors. High-speed Internet access is strongly recommended. The latest version of required software is recommended to access certain Sites and Services and may be required for certain transactions or features and to download Sites and Services purchased. You agree that meeting these requirements, which may change from time to time, is your responsibility. The Sites and Services are not part of any other product or offering, and no purchase or acquisition of any other product shall be construed to represent or guarantee you access to the Sites and Services.
  • Wireless:You may access certain Sites and Services through a mobile network, your network or roaming providers’ networks. Your carrier may prohibit or restrict certain Sites and Services and certain Sites and Services may be incompatible with your carrier or wireless internet device.
  • Restrictions:We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, worms, logic bombs or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to the download by you of any material posted on our site, or on any website linked to it.

 

  1. Hyperlinks:
  • Other websites:The Sites include hyperlinks to other websites which are not maintained by Field Pay. We are not responsible for the content of any other external websites accessed by you and we make no representations whatsoever concerning the content or accuracy of, opinions expressed in, or other links provided by such websites. The inclusion of any hyperlink to external websites does not imply endorsement by Field Pay those websites or any products or services referred to therein. The terms of service and privacy policies applicable to external websites may be different from those applicable to our Sites. If you decide to access any external website through a link within our Sites, you do so entirely at your own risk, and Field Pay have no liability for any loss or damage arising from your access or use of any external website. Since Field Pay is not responsible for the availability of these websites, or their contents, you should direct any concerns regarding an external website to the administrator of that website. You agree that you will bring no suit or claim against us arising from or based upon any such use of external websites. Hyperlinks to other websites that are provided on the Sites are not intended to imply that: (a) we are affiliated or associated with any external website; or (b) any linked site is authorized to use any of our trademarks, trade names, logos, or copyrights.
  • Limited Rights on Hyperlink:Images of the Field Pay logo can only be used to link to the Sites; any other use of the Field Pay can only be made with our express written permission. By linking to the Sites, you agree that you will not misrepresent your relationship with us or present false or misleading impressions about us. No hyperlinks to the Sites may be used in a manner that implies or suggests that Field Pay approves or endorses you, your website, or your goods and services. We will have no responsibility or liability for any content appearing on your website. No hyperlink may appear on any page on your website or within any context containing content or materials that may be interpreted as libelous, obscene, or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

 

  1. License:
  • Grant of a Limited License to Use the Sites and Services:Subject to your agreement and continuing compliance with these Terms and Conditions and any other relevant Field Pay policies, Field Pay grants you a non-exclusive, non-transferable, non-sub-licensable, revocable limited license subject to the limitations below to access and use the Sites and Services for own personal use. You agree not to use the Sites and Services for any other purpose. Field Pay may modify, update, suspend or discontinue the Sites and Services, in whole or in part, at our sole discretion for any or no reason, at any time and with or without notice. Field Pay shall not be liable to any user or other third party for any such modification, update, suspension or discontinuance.
  • Account Creation and Access: We may require that you create an account to use or access certain parts of the Sites and Services and use certain products and features. We may require that you provide login information such as a username and password to access and utilize your account. As a condition of your use of the Sites and Service, you agree to (a) provide Field Pay with true, accurate, current and complete information as prompted by the Field Pay registration forms, when registering for or using the Sites and Services and (b) update and maintain the truthfulness, accuracy and completeness of such information. During the Account creation process, you will be required to select a password (“Login Information”). You shall not share the Account or the Login Information, nor let anyone else access your Account or do anything else that might jeopardize the security of your Account. You are responsible for maintaining the confidentiality of any password or other account information not generally available to others and are fully responsible for all activities that occur under your username and password. In the event you become aware of or reasonably suspect any breach of security, including without limitation any loss, theft, or unauthorized disclosure of the Login Information, you must immediately notify Field Pay and modify your Login Information. You are solely responsible for maintaining the confidentiality of the Login Information, and you will be responsible for all uses of the Login Information, including purchases, whether or not authorized by you. You are responsible for anything that happens through your Account.  While there are limited, legitimate reasons for creating multiple accounts, creating serial or overlapping accounts may result in account termination. Please contact us if you have questions about managing multiple accounts. Field Pay reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to claims by a third party that a username violates the third party’s rights. You agree not to impersonate or misrepresent your affiliation with any person or entity, including using another person’s username, password or other account information, another person’s name or likeness or provide false details for a parent or guardian.  You agree that we may take steps to verify the accuracy of information you provide, including contact information for a parent or guardian.
  • App:The Apps are distributed through various online app providers, each of which requires you to create an account to participate in the Apps.  You are responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account or password. You agree to update your account information to keep it current and accurate. You are responsible for ensuring that all persons who access our site through your internet connection are aware of these Terms and that they comply with them.
  • Termination: Upon termination, the user shall immediately cease using the Sites and Services and shall return or destroy any confidential information, data, or materials belonging to the Company. In the event that user continues to use the Site and Services after termination, user shall be considered in breach of this Agreement and shall be liable for any damages incurred by Company as a result of such breach, including but not limited to all costs and expenses associated with any legal action necessary to enforce this provision.
  • License Limitations:Any use of the Sites and Services in violation of these License Limitations is strictly prohibited, can result in the immediate revocation of your limited license and may subject you to liability for violations of law. You agree that you will not, under any circumstances:
  1. Engage in any act that Field Pay deems to be in conflict with the spirit or intent of the Sites and Services or make improper use of Field Pay support services.
  2. Institute, assist, or become involved in any type of attack, including without limitation distribution of a virus, transmit or submit any transmission or other materials that are encrypted or that contains viruses, Trojan horses, worms, time bombs, spiders, cancelbots or other computer programming routines that is likely or intended to damage, interfere with, disrupt, impair, disable or otherwise overburden the Sites and Services; be involved with any other attempts to disrupt the Sites and Services or any other person’s use or enjoyment of the Sites and Services.
  3. Attempt to gain unauthorized access to the Sites and Services, Accounts registered to others or to the computers, Servers, or networks connected to the Sites and Services by any means other than the user interface provided by Field Pay, including but not limited to, by circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person to circumvent or modify, any security, technology, device, or software that is part of the Sites and Services.
  4. Post any information that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable or offensive.
  5. Post any information that contains nudity, excessive violence, or offensive subject matter or that contains a link to such content.
  6. Attempt to, or harass, abuse, or harm, or advocate or incite harassment, abuse, or harm of another person, group, including Field Pay employees or customer service representatives.
  7. Make available through the Sites and Services any material or information that infringes any copyright, trademark, patent, trade secret, right of privacy, right of publicity, or other right of any person or entity or impersonates any other person, including without limitation an Field Pay employee.
  8. Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying software or other intellectual property used to provide the Sites and Services or to obtain any information from the Sites and Services using any method not expressly permitted by Field Pay.
  9. Solicit or attempt to solicit personal information from other users of the Sites and Services or collect or post anyone’s private information, including personally identifiable information (whether in text, image or video form), identification documents, or financial information through the Sites and Services.
  10. violate these Terms of Use, other applicable agreement with Field Pay, and any applicable local, state, national or international law, and any rules and regulations having the force of law;
  11. use the Sites and Services or its Content for any purposes not authorized by these Terms of Use, including commercial, political, or religious purposes, including the submission or transmission of any Content that contains advertisements, promotional materials, junk mail, or any other form of solicitation;
  12. reproduce, duplicate, copy, modify, sell, re-sell or exploit any Content or the Sites and Services for any commercial, educational, or any other non-personal purpose or any for any purpose unrelated to your personal purchasing decisions, without the express written consent of Field Pay, which consent may be withheld by Field Pay in our sole discretion;
  13. sell, share, or otherwise transfer your account username, password, other information, or your rights or obligations under these Terms of Use;
  14. access, download, monitor, or copy any information contained on our Sites and Services through artificial means (including but not limited to use any ‘deep-link’, ‘scraper’, ‘robot’, ‘spider’ or other automatic device, program, algorithm or methodology, or any similar or equivalent automatic or manual process, or in any way reproduce or circumvent the navigational structure or presentation of the Sites and Services or any content, to obtain or attempt to obtain any Content, materials, documents or information through any means not purposely made available through the Sites and Services; or
  15. probe, scan or test the vulnerability of the Sites and Services or any network connected to the Sites and Services, nor breach the security or authentication measures on or of the Sites and Services or any network connected to the Sites and Services.
  16. You may not reverse look-up, trace or seek to trace any information on any other user of the Sites and Services, or any other customer of Field Pay, including any Field Pay account not owned by you, to its source, or exploit the Sites and Services or any service or information made available or offered by or through the Sites and Services, in any way where the purpose is to reveal any information, including but not limited to personal identification or information other than your own information, except as expressly authorized by Field Pay and provided for by the Sites and Services.
  17. post irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on our infrastructure, interfere or attempt to interfere with the proper working of the Sites and Services or any activities conducted on the Sites and Services
  18. harass, threaten, intimidate, impersonate, or attempt to impersonate, any other person, falsify your contact or other information, misrepresent a relationship with any person or entity, including misrepresenting a relationship with Field Pay, or otherwise attempt to mislead others as to the identity of the sender or the origin of a comic sales, comic grade and comic value data;
  19. knowingly provide or submit false or misleading information;
  20. use the Sites and Services if you are under the age of eighteen (18);
  21. take any action that would undermine the comic sales, comic grade and comic value data process under the Sites and Services;
  22. attempt to gain unauthorized access to the Sites and Services, other user accounts, or other computer systems or networks connected to the Sites and Services;
  23. use the Sites and Services in any way that could interfere with the rights of Field Pay or the rights of other users of the Sites and Services;
  24. attempt to gain unauthorized access to any portion or feature of the Sites and Services, or any other systems or networks connected to the Sites and Services or to any server used by Field Pay by hacking, password ‘mining’ or any other illegitimate or unauthorized means, including attempting to obtain password, account, or any other personal or  private information from any other Sites and Services user;

Field Pay reserves the right to determine what conduct it considers to be in violation of the rules of use or otherwise outside the intent or spirit of these Terms and Conditions or the Sites and Services themselves. Field Pay reserves the right to take action as a result, which may include terminating your Account and prohibiting you from using the Sites and Services in whole or in part. Without prejudice to its other rights or remedies, Field Pay reserves the right to take legal proceedings against you for reimbursement of all costs or losses resulting from your breach of this “Restrictions” clause, and to disclose such information to law enforcement agencies as Field Pay reasonably believes is necessary.

Suspension and Termination of Account:WITHOUT LIMITING ANY OTHER REMEDIES, Field Pay MAY LIMIT, SUSPEND, TERMINATE, MODIFY, OR DELETE ACCOUNTS OR ACCESS TO Field Pay SITES AND SERVICES OR PORTIONS THEREOF IF YOU ARE, OR Field Pay SUSPECTS THAT YOU ARE, FAILING TO COMPLY WITH ANY OF THESE TERMS AND CONDITIONS OR FOR ANY ACTUAL OR SUSPECTED ILLEGAL OR IMPROPER USE OF THE SITES AND SERVICES, WITH OR WITHOUT NOTICE TO YOU. YOU CAN LOSE YOUR USER NAME AND PERSONA AS A RESULT OF ACCOUNT TERMINATION OR LIMITATION, AS WELL AS ANY BENEFITS, PRIVILEGES, EARNED ITEMS AND PURCHASED ITEMS ASSOCIATED WITH YOUR USE OF THE SITES AND SERVICES, AND Field Pay IS UNDER NO OBLIGATION TO COMPENSATE YOU FOR ANY SUCH LOSSES OR RESULTS.

WITHOUT LIMITING OUR OTHER REMEDIES, WE MAY LIMIT, SUSPEND OR TERMINATE THE SITES AND SERVICES AND USER ACCOUNTS OR PORTIONS THEREOF, PROHIBIT ACCESS TO OUR SITES AND THEIR CONTENT, SERVICES AND TOOLS, DELAY OR REMOVE HOSTED CONTENT, AND TAKE TECHNICAL AND LEGAL STEPS TO PREVENT USERS FROM ACCESSING THE SITES AND SERVICES IF WE BELIEVE THAT THEY ARE CREATING RISK OR POSSIBLE LEGAL LIABILITIES, INFRINGING THE INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES, OR ACTING INCONSISTENTLY WITH THE LETTER OR SPIRIT OF OUR TERMS OR POLICIES. ADDITIONALLY, WE MAY, IN APPROPRIATE CIRCUMSTANCES AND AT OUR SOLE DISCRETION, SUSPEND OR TERMINATE ACCOUNTS OF USERS WHO MAY BE REPEAT INFRINGERS OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS.  Field Pay RESERVES THE RIGHT TO TERMINATE ANY ACCOUNT THAT HAS BEEN INACTIVE FOR 180 DAYS.

Field Pay reserves the right to stop offering and/or supporting the Sites and Services or part of the Sites and Services at any time, at which point your license to use the Sites and Services or a part thereof will be automatically terminated. In such event, Field Pay shall not be required to provide refunds, benefits or other compensation to users in connection with such discontinued Sites and Services. Termination of your Account can include disabling your access to the Sites and Services or any part thereof including any content you submitted or others submitted.

  • Rights in Your Data: You hereby grant to Field Pay an irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license (including the right to sublicense and assign to third party) and right to copy, reproduce, fix, adapt, modify, create derivative works from, manufacture, commercialize, publish, distribute, sell, license, sublicense, transfer, lease, transmit, publicly display, publicly perform, or provide access to electronically, broadcast, communicate to the public by telecommunication, display, perform, enter into computer memory, and use and practice, in any way, any information, text, data, databases, graphics, images, sound recordings, video materials, audio clips, logos, software, features, services, and other materials within the Site placed on, uploaded, referenced, by you (all such materials, and any compilation, collection, or arrangement thereof, the ” User Content”) as well as all modified and derivative works thereof in connection with our provision of the Sites and Services, including marketing and promotions of the Sites and Services. You also hereby grant to Field Pay the right to authorize others to exercise any of the rights granted to Field Pay under these Terms and Conditions. You further hereby grant to Field Pay the unconditional, irrevocable right to use and exploit your name, likeness and any other information or material included in any User Content and in connection with any User Content, without any obligation to you. Except as prohibited by law, you waive any rights of attribution and/or any moral rights you may have in your User Content, regardless of whether your User Content is altered or changed in any manner. Field Pay does not claim any ownership rights in your User Content and nothing in these Terms and Conditions is intended to restrict any rights that you may have to use and exploit your User Content. Field Pay has no obligation to monitor or enforce your intellectual property rights in or to your User Content.
  • Representations and Conditions of Use:  As a condition of submitting any Content or other materials to the Sites or Services, you agree that:
  1. you represent that you own or have secured all legal rights necessary for the User Content submitted by you to be used by you, Field Pay, and others as described and otherwise contemplated in these Terms of Use;
  2. Your name and report information may be made available to the public and to the User Content on which you report;
  3. you represent and warrant that each person identified, depicted, or shown in in your User Content, if any, (and if a minor, the parent or guardian of the minor) has provided consent to the use of the User Content consistent with these Terms of Use;
  4. Field Pay may, in its sole discretion, choose to remove or not to remove User Content once published;
  5. you will not submit any User Content that may be considered by Field Pay to be infringing, harassing, libelous, abusive, threatening, obscene, profane, hateful, offensive, harmful, vulgar, distasteful, defamatory, or otherwise violates any relevant law or right of any other party, or racially, ethnically or otherwise objectionable;
  6. the User Content that you provide do not reflect the views of Field Pay, its officers, managers, owners, employees, agents, designees or other users.

 

  1. Payment Policy:

You agree to provide borrower/s a payment link that will redirect the borrower/s to the Banks website.  Field Pay uses a third-party payment processor to process payments. The payment will be made directly to the Bank through the payment link. Field Pay is not liable for any loss or damages occurred while processing the payment.

 

  1. Privacy policy:

Before you continue using our app, we advise you to read our privacy policy [link to privacy policy] regarding our user data collection. It will help you better understand our practices.

 

  1. Age restriction:

You must be at least 18 (eighteen) years of age before you can use this app. By using this app, you warrant that you are at least 18 years of age and you may legally adhere to this Agreement. Field Pay assumes no responsibility for liabilities related to age misrepresentation.

 

  1. Disputes:

If any dispute, controversy or claim arises under this Agreement or in relation to any Field Pay Service, including any question regarding the existence, validity or termination of this Agreement or T&Cs (hereinafter Dispute), the parties shall use all reasonable endeavours to resolve such Dispute amicably. If the parties are unable to resolve the Dispute amicably within 30 days of the notice of such Dispute, Field Pay may elect to resolve any Dispute by a binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996 (hereinafter Act). Such Dispute shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The Dispute shall be resolved by a sole arbitrator, appointed in accordance with the Act. The seat of the arbitration shall be in Mumbai and the language of this arbitration shall be English. Either You or Field Pay may seek any interim or preliminary relief from a court of competent jurisdiction in Mumbai necessary to protect the rights or the property belonging to You or Field Pay (or any of our agents, suppliers, and subcontractors), pending the completion of arbitration. Any arbitration shall be confidential, and neither You nor Field Pay may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcing the arbitration award. All administrative fees and expenses of arbitration will be divided equally between You and Field Pay. In all arbitrations, each party will bear the expense of its own lawyers and preparation. This paragraph shall survive termination of this Agreement.

 

  1. Governing Law and Forum for Disputes:

Subject to the Dispute Resolution section above, you agree that any claim or dispute you may have against Field Pay must be resolved by a court having jurisdiction in Mumbai, India. You agree to submit to the personal jurisdiction of the courts located within Mumbai, India, for the purpose of litigating all such claims or disputes. This Agreement shall be governed by Indian law. This paragraph shall survive termination of this Agreement.

 

  1. Indemnification:

You agree to indemnify Field Pay and its affiliates and hold Field Pay harmless against legal claims and demands that may arise from misuse of our services. We reserve the right to select our own legal counsel. Limitation on liability Field Pay is not liable for any damages that may occur to you as a result of your misuse of our app. Field Pay reserves the right to edit, modify, and change this Agreement at any time. We shall let our users know of these changes through electronic mail. This Agreement is an understanding between Field Pay and the user, and this supersedes and replaces all prior agreements regarding the use of this app.

  1. Enforcement: 

Field Pay reserves the right to take steps that we believe are reasonably necessary or appropriate to enforce and/or verify compliance with any part of the Terms. You agree that we have the right, without liability to you, to disclose any registration data and/or account information to law enforcement authorities, government officials, and/or a third party, as we believe is reasonably necessary or appropriate to enforce and/or verify compliance with any part of the Terms (including but not limited to our right to cooperate with any legal process relating to your use of the Sites and Services and/or a third-party claim that your use of the Sites and Services is unlawful and/or infringes such third party’s rights).

  1. Entire Agreement:

This agreement constitutes the entire agreement between you and Field Pay with respect to the Sites and Services and supersedes all prior or contemporaneous agreements, terms or conditions, oral or written, between you and Field Pay.

  1. Severability:

If any provision of the Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from the Terms and shall not affect the validity and enforceability of any remaining provisions.

  1. Survival:
